You’re ready to move forward with fertility treatment. Then your clinic tells you it needs a legal clearance letter.
Perhaps you have matched with a surrogate, chosen an egg donor, or made plans with a known sperm donor. You have already invested time, energy, and hope in getting here. Another requirement can feel like another delay.
The good news: this step is straightforward when you know what to expect. Below we explain what legal clearance is, what has to happen before your clinic receives it, and how Flowerday Fertility Law guides you through it.
What Is a Legal Clearance Letter for a Fertility Clinic?
A legal clearance letter is a communication from a lawyer to your fertility clinic confirming that the relevant legal steps for your arrangement have been completed. Depending on the circumstances and the clinic’s requirements, this generally includes confirming that the agreement has been signed and that the parties have received independent legal advice.
Your clinic uses that confirmation to determine whether its legal requirements have been met before proceeding with the relevant treatment.
Think of the letter as the finish line of the agreement process. The real value lies in the work that comes before it: making sure everyone understands their roles, responsibilities, and intentions.
Why Fertility Clinics Require Legal Clearance Before Treatment
Surrogacy and donation are about much more than a medical procedure. They involve important decisions about family, roles, and the future.
Who intends to be a parent? What role will the donor have? What expenses will be reimbursed? What happens to unused donated material? What expectations do the parties have about future contact?
The questions differ depending on whether you are pursuing surrogacy, egg donation, sperm donation, or embryo donation. A carefully prepared agreement gives everyone an opportunity to address the issues relevant to their arrangement before moving forward.
Timing can also have legal significance. In Ontario, for example, the statutory surrogacy parentage framework requires a pre-conception agreement and independent legal advice before the parties enter into it.
Legal clearance is the bridge between that legal work and your clinic’s treatment plan. It lets your clinic know the legal side is complete.
How to Get a Legal Clearance Letter in 3 Steps
At Flowerday Fertility Law, we guide you through three main stages.
Step 1: Prepare Your Surrogacy or Donor Agreement
We begin with your circumstances: who is involved, how conception is planned, and what everyone expects.
Our web application, Plaid Fertility Law, guides you through questions that help create your draft fertility agreement. You then work with us to review the terms, understand your options, and address questions specific to your arrangement.
The result is an agreement built on informed decisions, one that truly reflects your family-building plans.

Step 2: Get Independent Legal Advice (ILA) for Each Party
We review the agreement with you and advise you on its implications. The other party receives independent legal advice from their own lawyer, and the lawyers work through any proposed changes before the agreement is finalized.
Independent legal advice gives each client space to ask questions, understand their rights and responsibilities, and make decisions with advice focused on their own interests.
Once the terms are settled and the legal advice is complete, the agreement is ready for signing.
Step 3: Sign the Agreement and Certificates of Independent Legal Advice
The parties sign the final agreement, followed by the lawyers signing their certificates of independent legal advice.
With Plaid, legal clearance is automatically generated when the final signature is completed, the last lawyer’s signature on their certificate of independent legal advice and automatically provided to the fertility clinic.
No extra paperwork, no follow-up emails, and no waiting for a separate letter to be drafted. Once the last signature is in, your clinic receives clearance automatically.
What to Have Ready Before You Contact a Fertility Lawyer
A little preparation can help the legal process get underway smoothly. When you contact us, please have the following available:
- your fertility clinic’s name and contact information;
- the names and roles of the people involved in your arrangement;
- your anticipated donation, insemination, or embryo transfer dates; and
- any specific legal clearance instructions or deadlines provided by your clinic.
Don’t worry if you don’t have every detail figured out yet. If you’re unsure what your clinic requires or which agreement you need, we’ll help you sort out the next steps.

Legal Clearance FAQs for Surrogacy and Donation
When Is Legal Clearance Sent to the Fertility Clinic?
Clearance is issued through Plaid once everyone has signed, including the lawyers completing their certificates of independent legal advice. The parties’ signatures alone do not complete the process.
Your clinic will still need to confirm that its medical, counselling, consent, and other requirements have been satisfied before treatment proceeds.
Does the Fertility Clinic See Our Surrogacy or Donor Agreement?
No. A legal clearance letter and your fertility agreement are separate documents. Clearance confirms completion of the relevant legal steps; the agreement contains the detailed terms of your arrangement.
If you are concerned about sharing those terms, raise this with us during the review process. We can explain what will be provided to your clinic and address any request for the agreement or additional documents.
How Long Does Legal Clearance Take and When Should We Start?
Contact a fertility lawyer once your arrangement is taking shape and before committing to treatment dates that depend on legal clearance.
Let your lawyer know about any proposed donation, insemination, or embryo transfer dates, as well as any deadline your clinic has given you.
The time needed to complete an agreement depends on the circumstances, the issues to be discussed, and the availability of the parties and their lawyers. Starting early creates room for thoughtful decisions and helps reduce avoidable pressure as treatment approaches.
If your clinic has already asked for clearance and your timeline is tight, let us know right away so we can map out the fastest path forward with you.
Do We Still Need a Fertility Agreement If We Already Agree?
That’s a great place to start, and it often makes the legal process smoother.
An agreement still needs to translate those shared expectations into clear terms and address questions the parties may not yet have considered. This is particularly helpful when you are working with a friend or family member and want to preserve that relationship.
Clear expectations can support both your treatment plans and the relationships that make them possible.
Does a Legal Clearance Letter Make Us the Legal Parents?
Legal clearance confirms completion of the relevant legal steps for the clinic. It does not replace every legal step that may be needed to establish or document parentage.
In a surrogacy arrangement, for example, further steps will be required after birth. We help you understand those requirements during the agreement process, so you know what to expect beyond treatment.
